1. Introduction
These Terms and Conditions govern the use of the website and services provided by WOHO Solutions Ltd (“we”, “our”, “us”). By engaging our services, submitting a request, or accepting a quotation, you agree to be bound by these Terms and Conditions.

- Backup, monitoring, and infrastructure management
- Software licensing and subscription management
- Web and digital consulting
- Web and application development
- Support services and SLA based services
All services are provided based on agreed quotations, written confirmations, or formal contracts.
3. Engagement and Contract Formation
A contract is formed when a client accepts:
- A written quotation
- An email confirmation
- An online form submission
Acceptance confirms agreement to these Terms and Conditions unless a separate written agreement is in place.
4. Fees, Billing, and Payments
Services may be billed:
- Monthly or yearly
- In advance
- As one time charges
Invoices must be paid within the stated payment terms. Late payments may be subject to penalties, suspension of services, or restricted access until outstanding amounts are settled.
5. Software Licensing
All software licences are provided subject to the terms and conditions of the respective software providers. WOHO Solutions Ltd acts as a reseller or service provider and does not own the software.
Clients agree to comply with all applicable vendor terms, including those of Adobe, Microsoft, Bitdefender, Acronis, and other providers where applicable.
6. Cloud Services and Availability
Cloud services are provided on a best effort basis. While reasonable steps are taken to ensure availability and performance, uninterrupted service cannot be guaranteed.
We are not liable for service interruptions caused by third party providers, network failures, maintenance, force majeure events, or factors outside our control.
7. Support and SLA
Where applicable, support services and service level agreements are provided under separate SLA documents. SLAs define response times, coverage, and service scope and do not guarantee uninterrupted availability.
8. Subcontracting and Third Parties
We reserve the right to use subcontractors and third party providers, both locally and internationally, to deliver services. Responsibility for service delivery remains with us, subject to these Terms and Conditions.
9. Data Protection and Privacy
Personal data is processed in accordance with our Privacy Policy and applicable data protection laws, including the Mauritius Data Protection Act and GDPR where applicable.
By using our services, clients acknowledge that data may be stored or processed in multiple regions depending on service requirements.
10. Termination and Refunds
Services may be terminated:
- By either party with written notice
- Immediately in the event of a material breach
All payments made are non refundable, including in cases of early termination, unused services, or subscription cancellations.
11. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for indirect, incidental, special, or consequential losses
- We accept no liability for loss of data, revenue, or business interruption
- Total liability is excluded regardless of cause
Clients are responsible for maintaining appropriate backups and insurance where required.
12. Intellectual Property
All intellectual property rights relating to materials, documentation, and deliverables remain the property of their respective owners unless otherwise agreed in writing.
13. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of Mauritius. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mauritius.
14. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Updates will be published on this page and take effect immediately.
